Sale and purchase of ships

Purchase or sale of a vessel is a time-taking process requiring specific knowledge and prompt actions in order to protect a client’s interests and contribute to effective use of the vessel. We provide the following services to the shipowners who intend to sale or purchase vessels:

 

Legal support

  • Analysis of potential bargain and associated risks, structural planning and developing a step-by-step bargain procedure;
  • Designing of sale and purchase contract, arrangement of closing the deal;
  • Participation in negotiations with sellers/buyers, protecting the client’s interests in negotiating the terms of sale and purchase contract and supporting documents, preparing of the documents for signing by the parties;
  • Representing the clients during the bargain, legal appraisal of the documents submitted by sellers/buyers;
  • Consultations and preparing set of documents for registration of ownership and flag;
  • Help with incorporation of shipping companies, support in obtaining relevant authorizations/licenses, manning of vessels.

Technical support

  • Professional inspections of vessels:

- Pre-purchase/pre-selling survey;

- Pre-and after-chartering survey;

        - Pre-insurance survey (H&M and P&I)

        - Surveys upon request of banks, mortgagors etc., including valuation of vessel;

  • Risk assessment upon existing classification, conventional documents;
  • ISM/ISPS/MLC-2006  audit;
  • Acceptance of delivery of vessel after completion of sale and purchase bargain or charter;
  • Consulting on matters of operation, management, preparing and maintaining of documentation, implementation of ISM and Ship Security Plan;
  • Staffing of shipping companies;
